1. Introduction
- These Terms of Service (the “Terms”) govern your access to and use of Guru VPN products, services, applications and other offerings (collectively, the “Services”), including any software and accompanying documentation (the “Software”). By accessing or using the Services you agree to be bound by these Terms and by any additional policies and terms referenced herein.
- “Guru VPN”, “we”, “us” or “our” means GURU NETWORK S.R.L., with offices at: Bucureşti, Sectorul 3, Str. Nerva Traian, Nr. 27-33, br. 6, Scara B, Etaj 1, Post code 031044, Romania
- Effective date and version are set out at the top of these Terms. We may update these Terms from time to time; continued use of the Services following publication of updated Terms constitutes acceptance of the changes.
2. Definitions
- Capitalised terms used but not defined have the meanings set out in these Terms. Key defined terms include: “Account”, “Billing Cycle”, “Privacy Policy”, “No-Logs Policy”, “Subscription”, “Subscription Fee”, “Subscription Term”, “FUP” (Fair Usage Policy), and “AUP” (Acceptable Use Policy)..
3. Acceptance of Terms; Changes to the Services
- You confirm that you have read, understood and agree to be bound by these Terms. If you do not agree, do not access or use the Services.
- We may modify the Services (including free and paid features) at any time. Material changes to pricing or to these Terms will be posted on our website with an updated effective date. If you do not accept such changes you must stop using the Services.
4. Scope of Services
- Guru VPN provides virtual private network services and related privacy and cybersecurity solutions (collectively, the “Services”), including VPN software, browser extensions, applications and related content.
- VPNs encrypt data connections to improve privacy and security. Use of the Services does not guarantee protection against all threats; you remain responsible for device security and lawful use.
5. Privacy and No‑Logs Statement
- We value your privacy and operate under the practices described in our Privacy Policy and No-Logs Policy. We do not log traffic content, the content of your communications, full URLs, page content, detailed browsing histories, traffic payloads, user-linked DNS query histories, or users' real source IP addresses in connection logs. Limited network-level security analysis through IDS/IPS signature- and pattern-based tools may be used to detect suspicious patterns, protect network security, and enforce these Terms, subject to the limited data and technical signals described in Section 12 (FUP), Section 13 (AUP), the Privacy Policy, and the No-Logs Policy.
- No-logs does not mean that we process no data at all. We may process limited account, subscription, billing, diagnostics, security, service metadata, user-linked connection logs retained under the applicable period, registered-device limit status, DNS technical logs processed as non-user-level logs, analytics/SDK data, website cookies, push notification data, and support data where necessary to provide, secure, troubleshoot, bill for, improve, and lawfully administer the Services. Such processing is governed by our Privacy Policy and No-Logs Policy.
6. Eligibility
- Services are available only to individuals who are at least 18 years old (or the age of majority in your jurisdiction, if higher) and who have legal capacity to enter into these Terms. The Services are not intended for children under 18. By using the Services you represent and warrant that you meet these eligibility requirements.
7. Accounts and Registration
- To use certain Services you must create an Account and provide complete and accurate registration information. You are responsible for maintaining the confidentiality of your Account credentials and for all activity under your Account.
- You agree to notify us immediately of any unauthorised use of your Account. We may suspend or terminate Accounts for suspicious or unlawful activity.
8. Subscriptions, Billing and Payment
- The Services are generally provided by subscription. When you subscribe you select a Subscription Term and pay the applicable Subscription Fee in advance. Subscription Fees are charged automatically according to the chosen Billing Cycle.
- Subscriptions purchased through Apple App Store or Google Play are subject to those stores’ procedures and refund policies. To cancel such subscriptions, use the relevant app store.
- You agree to pay all fees and applicable taxes. We may use third‑party payment processors.
9. Automatic Renewal and Cancellation
- At the end of each Billing Cycle your subscription will automatically renew for the same Subscription Term and at the then‑applicable price shown in your Account, unless you or we cancel no later than one (1) day before the next Billing Cycle begins.
- After cancellation by you or by us, no further Subscription charges will be made. Your subscription will remain active until the end of the paid Subscription Term unless otherwise stated.
10. Free Trials and Promotional Offers
- We may offer limited free trials at our discretion. Trial terms will be presented at registration or in promotional materials. Trials are available only where permitted by the trial terms. We may modify or cancel trial offers at any time.
- To avoid automatic conversion to a paid subscription you must cancel the trial in accordance with the trial terms prior to its expiry. We will provide notice prior to charging where required.
11. Price Changes and Advertising
- We may change Subscription Fees and other charges; we will notify you at least thirty (30) days before material price changes take effect unless local law requires a different period.
- Free services may include advertising. We do not endorse third‑party advertisers and are not responsible for their content.
12. Fair Usage Policy (FUP)
- Incorporation. The Fair Usage Policy (the “FUP”) is incorporated into these Terms by reference. Use of the Services is conditional on compliance with the FUP.
- Purpose. The FUP sets reasonable limits on bandwidth, registered-device/account use and feature use to protect network stability and ensure fair access.
- Metadata for enforcement. To enforce the FUP we may process limited data and technical signals described in our Privacy Policy and No-Logs Policy, such as user-linked connection logs retained under the applicable period (VPN server used, connection timestamps, and available connection status indicators), approximate data volume, registered-device limit status, aggregate infrastructure performance, IDS/IPS alerts, external abuse complaints, and error rates. We do not store users' real source IP addresses in connection logs or use them for FUP enforcement, do not maintain user-level concurrent connection counts or parallel session logs, and do not use DNS logs linked to individual users or devices for FUP enforcement. We do not inspect traffic content or payloads for FUP enforcement..
- Enforcement. If we reasonably determine that you have violated the FUP, we may notify you and request corrective action; apply temporary throttling, shaping, redirection, registered-device limit enforcement, or server/feature restrictions; suspend access to specific servers or features; suspend or terminate your Account; and disclose information to competent authorities where lawfully required. Where practicable we will provide notice and an opportunity to remedy; notice may be omitted when immediate action is required to protect the Service, other users, third parties, or legal interests.
- Refunds. Enforcement under the FUP does not automatically entitle you to a refund; refunds are governed by the Refund Policy.
- Reporting and appeals. To report abuse or appeal an enforcement action contact: support@guruvpn.com or privacy@guruvpn.com. Appeals should be submitted within 14 days; we aim to respond within 14 business days.
13. Acceptable Use Policy (AUP) and Prohibited Conduct
- You must use the Services lawfully and in accordance with the Acceptable Use Policy (AUP). Prohibited activities include, without limitation:
- illegal activity (including distribution of illegal content or materials);
- spam, malware distribution, DDoS attacks, hacking, fraud;
- operating public-facing servers on consumer subscriptions where prohibited by applicable plan terms or where such use causes abuse, infrastructure strain, or third-party harm;
- mass automated connections, scraping, or other activities that degrade the Service;
- sharing Accounts beyond permitted registered-device/account limits or commercial resale of Accounts;
- circumvention of technical limits, and facilitation of large‑scale copyright infringement.
- Where our systems or third-party reports reasonably indicate a violation, enforcement may be based on limited network-level security pattern analysis (including IDS/IPS signals), user-linked connection logs retained under the applicable period, registered-device status, available service metadata, infrastructure impact indicators, and external abuse complaints. We do not claim to identify all prohibited activity, and we do not inspect traffic content or maintain browsing histories for AUP enforcement. Violations may result in warnings, temporary suspension, termination, and referral to law enforcement where appropriate and permitted or required by law. Refunds in such cases are governed by the Refund Policy.
14. Third‑Party Services and Links
- The Services may contain links to third‑party websites or resources. We are not responsible for their content, availability, or compliance with applicable law. Your use of third‑party services is at your own risk.
- We may work with affiliates and partners. We are not responsible for partner representations or promotional statements.
15. Updates and Maintenance
- We may provide Updates, patches and new features (“Updates”). Updates are part of the Services and subject to these Terms. Failure to install Updates may cause parts of the Services to function improperly.
- The Services may be unavailable for maintenance, outages or force majeure events. We will use reasonable efforts to minimize disruption.
16. Suspension and Termination
- We may suspend or terminate your access to the Services for breach of these Terms, suspected unlawful conduct, or for abuse. We are not liable for suspension or termination.
- If we terminate your access without cause during an active paid Subscription Term, you may be eligible for a pro‑rata refund for the unused portion, except where termination is for breach or abuse.
- You may terminate by deleting your Account and ceasing use. Termination does not relieve you of obligations accrued prior to termination.
17. Intellectual Property and Licence
- All content, features and functionality of the Services and Software are owned by us or our licensors and protected by intellectual property laws. No rights are transferred to you except as expressly provided herein.
- Subject to these Terms, we grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable licence to download, install and use the Software on devices you own or control, subject to the registered-device limits and other restrictions of your applicable plan.
- You may not copy, modify, reverse engineer, decompile or create derivative works of the Services or Software except to the extent permitted by applicable law.
18. Indemnity
- To the fullest extent permitted by law, you will indemnify, defend and hold harmless Guru VPN, its affiliates, officers, employees, agents and licensors from and against any claims, losses, liabilities, damages, costs and expenses (including reasonable legal fees) arising out of your use of the Services, your Submissions, or your violation of these Terms.
19. Warranties, Disclaimers and Limitation of Liability
- THE SERVICES AND SOFTWARE ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON‑INFRINGEMENT.
- SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF IMPLIED WARRANTIES; WHERE SUCH EXCLUSIONS ARE PROHIBITED, THEY DO NOT APPLY.
- We are not responsible for delays, loss, or corruption of data over networks not under our control. We are not liable for force majeure events.
- Our aggregate liability for claims arising out of or related to these Terms shall not exceed the total Subscription Fees paid by you in the 12 months preceding the event giving rise to liability, to the extent permitted by applicable law.
- Where mandatory consumer protection laws apply, the limitations in this Section shall be read down or shall not apply to the extent incompatible with such laws.
20. Feedback and Submissions
- If you submit feedback, suggestions or other materials (“Submissions”), you grant us and our affiliates a perpetual, worldwide, irrevocable, transferable, sublicensable, royalty‑free licence to use, modify, reproduce, publish, translate, distribute and create derivative works from the Submissions for any purpose.
- You represent that you own or control the rights to Submissions and that Submissions are not confidential.
21. Export Controls and Sanctions
- You must comply with all applicable export control laws and sanctions. Use of the Services is prohibited in jurisdictions or by persons subject to applicable trade or economic sanctions that prohibit such use.
22. Data Subject Rights and Data Protection

23. Dispute Resolution; Arbitration; Class Action Waiver; Consumer Carve‑outs
- Informal resolution: Most issues can be resolved via support. Contact support at support@guruvpn.com. If unresolved, send a written notice to Bucureşti, Sectorul 3, Str. Nerva Traian, Nr. 27-33, br. 6, Scara B, Etaj 1, Post code 031044, Romania; support@guruvpn.com or privacy@guruvpn.com describing the claim and desired remedy.
- Individual claims: Except where prohibited by applicable law, you and Guru VPN agree to resolve disputes on an individual basis and waive any right to pursue class, consolidated or representative actions.
- Arbitration: Except to the extent prohibited by mandatory consumer protection laws, disputes will be resolved by binding arbitration (one arbitrator) under rules agreed by the parties or under the rules of a recognised arbitration institution selected by Guru VPN. The seat of arbitration will be Bucharest, Romania, the language will be English, and Romanian law will be applied. The arbitrator may award any individual relief available in court but may not award punitive or exemplary damages unless permitted by applicable law.
- Consumer rights: If you are a consumer in a jurisdiction where arbitration or class‑action waivers are unenforceable, you may pursue remedies available under local law. Nothing in this Section prevents either party from seeking injunctive relief in a court of competent jurisdiction.
- Survival: This Section survives termination of these Terms.
24. Limitation Period
- Unless otherwise required by law, any claim arising out of or relating to these Terms must be brought within one (1) year from the date the claim arose, except where a longer period is required by applicable law.
25. Notices
- Notices must be in writing and are considered delivered when: (a) delivered personally; (b) sent by registered post with proof of delivery; (c) sent by nationally recognised overnight courier; or (d) sent by email with electronic confirmation of delivery.
- Notices to you are sent to the email address in your Account. You agree to receive notices electronically.

27. Governing Law
- These Terms are governed by and construed in accordance with the laws of Romania. You and Guru VPN submit to the exclusive jurisdiction of the courts of Romania for matters not subject to arbitration under Section 23, provided that mandatory consumer protections applicable where you live will take precedence as required by law.
28. Other Provisions
- Electronic communications: You agree that electronic notices satisfy any legal requirement for written notice.
- Law enforcement: We may disclose information to comply with lawful requests, to protect life or property, prevent fraud, or protect our rights, but only to the extent the information exists, can be lawfully accessed, and can be lawfully disclosed under applicable law and our Privacy Policy.
- No partnership: Nothing in these Terms creates a partnership, joint venture or employment relationship.
- Third‑party beneficiaries: Except where expressly stated, there are no third‑party beneficiaries.
- Assignment: You may not assign your rights without our written consent. We may assign our rights at our discretion.
- Changes to Terms: We may update these Terms; material changes will be posted with an updated effective date. Continued use after publication indicates acceptance.
- Severability: If a provision is held invalid, the remaining provisions remain in force.
- Waiver: Failure to enforce any right is not a waiver. Claims must be filed within one year unless local law requires otherwise.
- Interpretation: The English text is the authoritative version. Section headings are for convenience only.
- Entire agreement: These Terms, together with linked policies (Privacy Policy, No-Logs Policy, Refund Policy, AUP, FUP, and Cookie Policy), constitute the entire agreement between you and Guru VPN.
29. Survival
- Provisions that by their nature should survive termination (including Sections 17, 18, 19, 21, 23, 24, 28 and 29) shall survive.
30. Consumer notices
- Where local consumer protection laws provide greater rights (e.g., statutory cooling‑off, mandatory warranty periods, or prohibitions on arbitration/class‑action waivers), those laws will apply and corresponding provisions in these Terms will be read down or will not apply to the extent necessary.
